to spades, W bids 2S and after N and E pass south balances with 3D, N bids 3H over 3D and gets to play it there.
NS play natural overcalls after 1NT and X would be penalty.
Director was called after the 3D bid, and after the hand when 3H makes.
How would you rule about the 3D bid?

Looks ok to me. To take some sort action seems somewhat clear after the transfer is passed @ MP. If anything I wonder if it isn't the ethical bid, as X would cater to more posslbe north hands.

Pass is not an LA in my opinion. I don't think the hesitation suggests bidding 3D over doubling, so result stands.

I agree; 100% to bid even for Colonel Whiteflag (a backgammon character created by Danny Kleinman). And presumably double gets 3H from partner, so it does not matter which of 3D or double is the more ethical.
I prefer to give the lawmakers credit for stating things for a reason - barmar
